01 Acceptance of terms
By accessing or using the Simplin application and web platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, do not use the Service.
If you are using the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.
02 The Services
Simplin is an NFC-powered employee time tracking and workforce management platform designed for small businesses in the United States. The Service includes:
- NFC, PIN, and QR-based clock in/out functionality
- GPS-verified attendance tracking
- Payroll report generation and export
- Employee schedule management
- Business administration dashboard
- Mobile applications for iOS and Android
We may add, remove, or modify features at any time, provided we do not materially reduce the core functionality you have paid for during a billing period.
03 Accounts
Business owners
Business owners register for the Service by providing their business name, address, and contact information. As a business owner, you are responsible for managing your employees and ensuring accurate time records.
Employees
Employees access the Service through the mobile application after being added to a business by their employer. Employees must connect to a store using a store code provided by their employer.
Account security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.
04 Subscription and payment
Simplin offers a free tier with limited features. Premium features may require a paid subscription. Pricing details are available on our website. We reserve the right to change pricing with 30 days' notice.
05 Acceptable use
You agree not to:
- Use the Service for any unlawful purpose.
- Falsify time records or attendance data.
- Attempt to circumvent GPS or NFC verification systems.
- Access another user's account without authorization.
- Interfere with or disrupt the Service.
- Reverse engineer or decompile any part of the Service.
- Use the Service to harass, abuse, or discriminate against any person.
- Transmit malware, spam, or any content that is unlawful or infringing.
- Resell, sublicense, or otherwise distribute the Service without our written permission.
- Circumvent rate limits, security measures, or access controls.
06 Customer data
Business owners retain ownership of their business data, including employee records and time entries ("Customer Data"). You grant Simplin a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide and improve the Service, and to create aggregated, de-identified statistics that cannot reasonably be used to identify you or your employees.
As an Operator, you are responsible for obtaining any consents required from your employees for the collection and processing of their information through the Service.
07 Intellectual property
Simplin and its licensors own all rights, title, and interest in the Services, including all software, designs, trademarks, and documentation. These Terms do not transfer any ownership to you. You may not use Simplin's trademarks without our prior written consent.
If you submit feedback, suggestions, or ideas, we may use them without obligation to you.
08 Third-party services
The Service may integrate with third-party services (payroll providers, SMS carriers, translation APIs). Your use of third-party services is governed by their own terms, and Simplin is not responsible for their acts or omissions.
09 Termination
You may terminate at any time by canceling from the dashboard or by contacting us at support@simplin.ai. We may suspend or terminate your access if you breach these Terms, if required by law, or if your account is 30+ days past due. Upon termination, your right to use the Service will cease immediately, but sections that by their nature should survive (IP, disclaimers, limitation of liability, indemnification, dispute resolution) will survive. Business owners may export their data before account termination.
10 Disclaimers
Simplin is not a law firm, accountant, or payroll company. Compliance calculations and payroll exports are informational tools; you are responsible for verifying outputs before relying on them for legal or tax purposes.

You will indemnify and hold harmless Simplin and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party rights, or (d) your Customer Data.
13 Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.
14 Dispute resolution
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in New York, NY. You waive any right to participate in a class action or class arbitration. Either party may seek injunctive relief in court for intellectual property matters.
15 Changes
We reserve the right to modify these Terms at any time. Material changes will be announced via email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
